Welcome to Top AI Africa. These Terms of Service (“Terms”) govern your access to and use of the services provided by Top AI Africa, operated by Diomede Sabushimike, headquartered in Bujumbura, Burundi with offices in Montreal, Canada (“Company,” “we,” “our,” or “us”).

Top AI Africa provides the following services to businesses in Burundi and across Africa:
- Agentic AI Development — Custom AI agents designed to automate business workflows, customer support, data processing, and operational tasks.
- AI Consultation — Expert analysis of your business operations, identification of automation opportunities, ROI analysis, and custom AI strategy roadmaps.
- AI Training — Hands-on training programs to teach your team how to build, use, and manage AI agents and automation tools.
3. Eligibility
To use our services, you must:
- Be at least 18 years of age or the legal age of majority in your jurisdiction.
- Have the authority to enter into a binding agreement on behalf of yourself or the organization you represent.
- Provide accurate and complete information when requested.
4. Client Responsibilities
As a client of Top AI Africa, you agree to:
- Provide timely access to necessary data, systems, and personnel required for project delivery.
- Review and approve deliverables within agreed-upon timelines.
- Ensure that all data and materials provided to us comply with applicable laws and do not infringe on third-party rights.
- Maintain the confidentiality of any login credentials or access information provided to you.
- Use our AI agents and solutions in compliance with all applicable local, national, and international laws.
5. Project Scope and Deliverables
Each project will be governed by a separate Statement of Work (SOW) or project agreement that outlines:
- Scope of work and specific deliverables
- Project timeline and milestones
- Pricing and payment terms
- Acceptance criteria
Any changes to the agreed scope must be documented in writing and may result in adjustments to timelines and pricing.
6. Pricing and Payment
- All pricing is outlined in the project agreement or proposal provided before work begins.
- Payments are due according to the schedule specified in your agreement (typically 50% upfront, 50% upon delivery).
- Late payments may incur a fee of 2% per month on the outstanding balance.
- All prices are quoted in US Dollars (USD) unless otherwise specified.
- We reserve the right to suspend services for accounts with overdue payments exceeding 30 days.
7. Intellectual Property
7.1 Client Ownership
Upon full payment, the client owns all custom AI agents, workflows, and deliverables specifically created for their project, unless otherwise stated in the project agreement.
7.2 Company Ownership
Top AI Africa retains ownership of:
- Pre-existing tools, frameworks, and methodologies used in the delivery of services.
- General knowledge, techniques, and expertise gained during the project.
- Any reusable components, libraries, or templates developed by Top AI Africa.
7.3 License
Where Top AI Africa retains ownership of certain components, we grant the client a non-exclusive, perpetual, royalty-free license to use those components as part of their delivered solution.
8. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information shared during the engagement, including but not limited to:
- Business strategies, processes, and financial information
- Technical specifications and system architectures
- Customer data and contact information
- AI models, training data, and automation workflows

9. Data Protection and Privacy
- We process client data solely for the purpose of delivering our services.

10. Service Level and Support
- We aim to deliver all projects within the agreed timeline specified in the project agreement.

11. Limitation of Liability
To the maximum extent permitted by law:
- Top AI Africa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
- Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
- We are not responsible for any losses resulting from the client’s misuse of delivered AI agents or failure to follow implementation guidelines.
12. Warranties and Disclaimers
- We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

13. Termination
- Either party may terminate a project agreement with 30 days written notice.
- Upon termination, the client is responsible for payment of all work completed up to the termination date.
- We may terminate services immediately if the client breaches these Terms, engages in illegal activity, or fails to make payment after 30 days.

14. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, war, pandemic, internet outages, government actions, or power failures.
15. Dispute Resolution
- Any disputes arising from these Terms shall first be resolved through good-faith negotiation between the parties.
- If negotiation fails, disputes shall be submitted to mediation in Bujumbura, Burundi.
- If mediation fails, disputes shall be resolved through binding arbitration under the laws of the Republic of Burundi.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Burundi, without regard to conflict of law provisions.
17. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated “Last Modified” date. Continued use of our services after modifications constitutes acceptance of the revised Terms.
